1. Definitions

• • Freelancer:
  A registered user offering services via the Platform.
• • Recruiter:
  A registered user or organisation seeking freelance services via the Platform.
• • User:
  Any individual or entity using the Platform, including both Freelancers and Recruiters.
• • Services:
  Professional services provided by Freelancers to Recruiters through the Platform.
• • Engagement:
  A contractual relationship entered into between a Freelancer and Recruiter for a specific task or project. Engagements are governed either by the platform’s standard terms or by a separate agreement mutually agreed upon between the parties.
• • Escrow Payment System:
  A transaction model where payments are held securely by RI Experts and only released upon delivery of work or resolution of disputes.

2. Eligibility

Users must be at least 18 years old and legally capable of entering into binding contracts. Information provided during registration must be accurate and updated regularly.

By using the Platform, you represent and warrant that you meet the eligibility criteria.

3. Account Registration and Security

Users must provide true, current, and complete information.
Users are responsible for safeguarding their login credentials.
Sharing or misuse of accounts is prohibited.
Users must immediately notify RI Experts of any unauthorised use or suspected breach.

4. Platform Use

RI Experts serves as a marketplace connecting Freelancers and Recruiters. We are not party to any contractual Engagement between Users and are not responsible for any losses resulting from engagements between Users.

We do not:

Guarantee project outcomes.
Verify Freelancer qualifications or Recruiter legitimacy.
Supervise or manage deliverables unless explicitly agreed.

5. Freelancer Terms

5.1 Obligations

Deliver Services professionally and as agreed.
Maintain the confidentiality of all project-related materials and communications.
Avoid conflicts of interest, especially when bound by exclusivity.
Comply with all applicable laws and professional standards.

5.2 Fees and Payments

Freelancers will be paid through the Escrow Payment System, depending on the Recruiter’s agreement and project terms.
A platform service fee may apply.
Payment is only released upon approval from the Recruiter or completion of agreed milestones.
Payment amounts and release conditions are determined based on engagement terms set within the platform and may vary depending on the scope and nature of the project.

5.3 Taxes

RI Experts does not withhold or remit taxes on behalf of Users. Freelancers are responsible for declaring and paying any taxes applicable in their country of residence.

6. Recruiter Terms

6.1 Obligations

Define project scope and expectations clearly.
Fund engagements in advance using the Escrow Payment System.
Approve deliverables promptly or raise any disputes within the agreed timeframe.
Use the Platform for all communications and transactions related to active projects.

6.2 Fees and Payments

Recruiters may be charged a transaction or service fee
Payments are held in escrow and released only upon milestone completion or project delivery confirmation.
Unresolved disputes will be handled through our Dispute Resolution process.

7. Escrow Payment System

To ensure secure and fair transactions, RI Experts may, at its discretion, implement an escrow system for engagements.
When a Recruiter initiates an engagement, the agreed payment amount may be held in escrow by the platform until the Freelancer completes the deliverables.
Upon Recruiter approval, or after a predefined milestone or timeline, payments are released to the Freelancer’s wallet.
If a dispute arises, payments will remain in escrow until the matter is resolved through our Dispute Resolution process.
RI Experts is not liable for losses resulting from either party’s failure to uphold their contractual obligations once escrow is released.

8. Confidentiality and NDAs

All Users agree to maintain confidentiality regarding project details, trade secrets, data, and intellectual property.
Freelancers may be required to sign additional NDAs issued by the Recruiter prior to commencing work.
Failure to uphold confidentiality obligations may lead to legal action, account termination, and financial liability.

9. Exclusivity Clause

9.1 Platform Exclusivity

Freelancers and Recruiters agree not to engage in direct business relationships outside of the Platform for any connection originally made through RI Experts for a minimum period of 12 months from the date of first engagement, subject to applicable laws.

9.2 Exceptions

Exclusivity waivers can be requested and may be granted in writing by RI Experts.
Breaching exclusivity will result in reasonable compensation or actual damages as determined by RI Experts or legal process, and may lead to account suspension.

10. Dispute Resolution

Users agree to cooperate in good faith to resolve disputes.
RI Experts may mediate but is not obligated to enforce resolutions.
Unresolved issues may be escalated to legal channels under the governing law stated below.

11. Intellectual Property

Unless otherwise agreed in writing:

All deliverables created under an Engagement belong to the Recruiter upon full payment.
Freelancers retain no rights to reuse or resell work unless contractually allowed.

12. Termination and Suspension

We may terminate or suspend any account for breach of these Terms or abuse of the Platform.
Users may close their account with written notice, subject to the completion of all active engagements.

13. Limitation of Liability

Losses due to misrepresentation, data loss, reputational damage or non-performance by Users.
Delays or payment failures.
Platform downtime or technical issues.

14. Amendments

We may revise these Terms at any time. Users will be notified of significant updates via email or platform notifications. Continued use constitutes acceptance of the new Terms. If Users do not agree to the updated terms, they must immediately refrain from using the Platform.
